# Terms and conditions

The agreement between a tour company using TourCockpit and IdeaPlaces, who builds and runs it. Written in the same plain terms as the rest of the site: what you get, what it costs, what each side is responsible for, and how either side ends it.

## Who is this agreement between?

This agreement is between IdeaPlaces, which operates TourCockpit, and the company whose staff use it. Using the product accepts these terms. Where a signed order form or a written agreement with your company says something different, that document wins over this page.

## What is the service?

TourCockpit is software delivered over the internet: the daily operations board, bookings and manifests, the operator portal your resellers sign in to, reference data, reports and the month-end commission settlement, plus the REST API and its published contract. Your company gets all of it. There is no tier that holds a feature back, and the API is included rather than sold separately.

The product changes continuously. Changes that a customer would notice are published on the [What's new](/changelog) page. We do not remove something a company depends on without saying so there first.

## Who is responsible for accounts and API keys?

- A manager at your company creates the accounts and decides what each person may see. You are responsible for who you give an account to.
- Passwords are yours to keep. Anyone holding a valid credential is treated by the product as that person.
- API keys act as your company, or as one tour operator when bound to one. A key is shown once when it is minted; keep it as you would a password and revoke it when the integration ends.
- Tell us promptly at chip@tourcockpit.com if you believe a credential has been exposed.

## Who owns the data we put in?

Everything your office puts into TourCockpit belongs to your company. We hold it to run the product for you and for nothing else: it is not sold, not used to train anything, and not shared with another customer.

You can get it out at any time, while you are a customer and when you leave: the exports in the product, the API, or a copy on request. How it is handled and who else touches it is on the [privacy page](/privacy).

Your company is responsible for having the right to put a guest's details into the product and for telling those guests what you do with them, which is the ordinary position of a business using a supplier's software.

## What may the service not be used for?

- Do not use TourCockpit to break the law, or to send anyone messages they have not agreed to receive.
- Do not try to reach another company's data, probe the service for weaknesses without asking us first, or work around the limits on what an account or a key may do.
- Do not resell access to companies that are not yours, or share one company's account across separate businesses.
- Automated use is welcome through the API. Use it at a reasonable rate; if a client is affecting the service for other companies we will contact you before doing anything about it, unless the service is already down.

## What does it cost?

The published price is 300 euro a month for the platform plus 1% of the value of the bookings taken through it, invoiced monthly, with the percentage itemised so it can be checked booking by booking. The full explanation, including what the 1% is charged on, is on the [pricing page](/pricing).

- Prices are in euro and exclude any tax that applies where your company is established.
- Invoices are due within 30 days. If an invoice goes unpaid we will write to you before anything else happens, and we will not simply switch a working office off in the middle of a season without warning.
- There is no setup fee, no minimum term and no charge per user, per vehicle or per operator login.
- If the published price changes, an existing customer is told at least 60 days before it applies to them.

## How does either side end it, and what happens to the data?

The agreement runs month to month. Your company can stop at the end of any month by writing to us; we can end it with 60 days' notice, or immediately if the service is being used in the ways ruled out above.

When it ends, you can export everything for 30 days. After that the data is deleted, except anything an invoice obliges us to keep for tax purposes.

## What is promised about availability and support?

We aim to keep TourCockpit available whenever an office needs it, which for this business is every day of a season. We do not currently publish a contractual uptime figure, and saying so plainly is more useful than a number nobody is accountable for. Planned work that could interrupt the product is announced in advance and done outside operating hours where possible.

Support is by email at chip@tourcockpit.com, answered by a person. Something that stops an office working is treated as the priority it is.

## What are the limits of our liability?

We promise that the service will work substantially as the product and this site describe, and that we will use reasonable skill and care in running it. Beyond that the service is provided as it is.

Neither side is liable to the other for indirect or consequential loss, and our total liability in any twelve-month period is limited to what your company paid in that period. Nothing here limits liability for death or personal injury caused by negligence, for fraud, or for anything else the law does not allow to be limited, including your rights as a data subject.

## How do these terms change?

If these terms change in a way that matters to a customer, we say so on the [What's new](/changelog) page and, for a change that affects what you pay or what you may do, by email at least 30 days before it applies. Last updated 12 September 2026.

## Which law applies, and where do disputes go?

This agreement is governed by the law of the Province of Quebec and the federal laws of Canada that apply there, and the courts of Montreal have jurisdiction. Nothing in this clause takes away a protection that the law of your own country gives your company and cannot be contracted out of.
